1. Agreement to Terms

Welcome to TemuIn. These Terms of Service ("Terms") constitute a legally binding agreement between you and TemuIn ("Company," "we," "us," or "our") governing your access to and use of the TemuIn platform, website, and services (collectively, the "Platform").

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification at least 30 days before they become effective. Your continued use of the Platform after changes become effective constitutes acceptance.

3. Eligibility

3.1 Age Requirements

• Minimum Age: You must be at least 18 years old (or the age of majority in your jurisdiction)
• Instagram Compliance: You must meet Instagram's minimum age requirement (13 years old)
• Parental Consent: If you are under 18 but over 13, you need parental consent

3.4 Instagram Account

• For influencers: You must have an active Instagram account
• You must have legitimate access to the Instagram account you connect
• You must not connect accounts you do not own or have permission to use

4. Account Registration and Security

4.1 Account Creation

• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities under your account
• Notify us immediately of any unauthorized access

4.2 Account Types

• Influencer Accounts: For content creators seeking brand partnerships
• Brand Accounts: For businesses seeking influencer collaborations

4.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or harm the Platform or other users.

5. Instagram Integration and Social Media

5.1 Instagram Connection

By connecting your Instagram account:

• You authorize TemuIn to access your Instagram data as permitted by Meta's OAuth 2.0
• You grant us permission to display your Instagram content on the Platform
• You confirm you have the right to grant such access and permissions
• You comply with Instagram's Terms of Use and Community Guidelines

5.2 Instagram Data Usage

We use your Instagram data to:

• Display your profile statistics and metrics
• Showcase your portfolio content
• Calculate engagement rates and analytics
• Match you with relevant campaigns
• Provide insights and performance tracking

6. User Conduct and Prohibited Activities

You agree to use the Platform only for lawful purposes. You agree NOT to:

Prohibited Content:

• Post false, misleading, or fraudulent information
• Upload content that violates intellectual property rights
• Share content that is illegal, harmful, or obscene
• Post spam or unsolicited commercial content

Prohibited Activities:

• Impersonate any person or entity
• Use bots, scripts, or automated tools
• Manipulate metrics, engagement, or analytics
• Attempt to gain unauthorized access to accounts or systems
• Create multiple accounts to circumvent restrictions

7. Campaign and Collaboration Terms

7.1 For Brands

• All campaign information must be accurate and truthful
• Budgets, requirements, and deadlines must be clearly specified
• Brands must pay influencers as agreed in campaign contracts

7.2 For Influencers

• All application information must be accurate
• Deliver work as agreed in campaign contracts
• Disclose sponsored content per FTC guidelines and local laws
• Do not use fake followers, bots, or engagement manipulation

8. Payment and Fees

8.1 Platform Fees

TemuIn may charge service fees for certain features and transactions. All fees will be clearly disclosed before you incur them.

8.2 Campaign Payments

• Payment terms are agreed upon directly between brands and influencers
• TemuIn may facilitate payments through third-party payment processors
• Brands are responsible for timely payment to influencers
• Influencers must provide valid payment information

8.3 Refunds and Disputes

Payment disputes should be resolved directly between brands and influencers. TemuIn is not responsible for payment disputes but may assist in resolution at our discretion.

9. Intellectual Property Rights

9.2 User Content Ownership

You retain ownership of:

• Your profile information and content
• Your Instagram content
• Your portfolio materials
• Campaign deliverables you create

9.3 License to TemuIn

By using the Platform, you grant TemuIn a worldwide, non-exclusive, royalty-free license to:

• Display your content on the Platform
• Use your Instagram data for Platform functionality
• Show your portfolio to brands

This license ends when you delete your account (except for legal retention requirements).

10. Disclaimers and Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMUIN SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from user errors or conduct
• Third-party service failures (Instagram, payment processors)

11. Indemnification

You agree to defend, indemnify, and hold harmless TemuIn, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or Instagram data
• Your campaign deliverables or brand partnerships

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Termination will:

• Delete your account and profile information
• Remove your Instagram connection and data
• Cancel any pending campaigns or applications

12.2 Termination by TemuIn

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You harm other users or the Platform
• Required by law or regulatory authority

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@temuin.app to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

13.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration is more informal than a lawsuit and uses a neutral arbitrator instead of a judge or jury.

13.3 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

14. General Provisions

14.1 Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TemuIn.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15. Instagram-Specific Terms

By using TemuIn's Instagram integration, you acknowledge and agree:

• You have read and agree to Instagram's Terms of Use and Community Guidelines
• We access Instagram data via Meta's official APIs using OAuth 2.0
• Instagram may change API access, features, or terms at any time
• We are not affiliated with, endorsed by, or sponsored by Instagram or Meta
• You can revoke TemuIn's access to your Instagram account at any time
